Terms of Service for Northstar Podcast Production Ltd

1. Introduction and acceptance of terms
These Terms of Service (the “Terms”) govern the provision of podcast production and related services by Northstar Podcast Production Ltd (the “Company”, “we”, “us”, or “our”) to the customer, client, or any person or entity purchasing or using our services (the “Client”, “you”, or “your”).
By requesting a quotation, signing an agreement, paying an invoice, or otherwise engaging with or using the services of Northstar Podcast Production Ltd, you confirm that you have read, understood, and agree to be bound by these Terms, together with any applicable statement of work, proposal, estimate, order form, or written service agreement agreed between the parties.
If you do not agree to these Terms, you must not use our services.
2. Scope of services
Northstar Podcast Production Ltd provides podcast-production services, which may include any of the following, depending on the agreed scope of work:
- Podcast concept development
- Scriptwriting and episode planning
- Recording session production
- Audio editing and mixing
- Remote guest coordination
- Branded intro and outro production
- Podcast publishing support
The precise deliverables, timelines, format, number of revisions, and any additional services will be set out in the relevant proposal, quotation, statement of work, or written confirmation.
Unless expressly agreed otherwise in writing, all services are provided on a best-efforts basis and in accordance with generally accepted industry standards for podcast-production services.
We may use subcontractors, freelancers, and third-party service providers to perform any part of the services, provided that we remain responsible for the overall management of the agreed services.
3. User obligations and responsibilities
You agree to:
- Provide accurate, complete, and timely information necessary for us to perform the services;
- Respond promptly to requests for approvals, feedback, assets, scripts, and other materials;
- Ensure that all materials supplied by you, including audio, text, images, music, trademarks, guest recordings, and other content, do not infringe any third-party rights and comply with applicable law;
- Obtain all permissions, consents, waivers, and releases required for any guest appearances, voice recordings, likeness rights, music, or other third-party materials you supply or request us to use;
- Review all deliverables carefully before publication, release, or distribution;
- Use the services and deliverables only for lawful purposes; and
- Maintain appropriate backups of any content, files, and materials you provide or receive from us.
You are solely responsible for the factual accuracy, legality, and editorial appropriateness of any content you approve for publication, unless otherwise agreed in writing.
You acknowledge that delays caused by your failure to provide information, approvals, or materials may affect delivery dates, and we shall not be liable for any resulting delay.
4. Payment terms and conditions
Fees for services will be as stated in the applicable quotation, proposal, statement of work, or invoice issued by Northstar Podcast Production Ltd.
- Unless otherwise agreed in writing, all fees are quoted in GBP and are exclusive of VAT and any other applicable taxes.
- Invoices are payable in full by the due date stated on the invoice. If no due date is stated, payment is due within 14 days of the invoice date.
- We may require an advance payment, deposit, or milestone payments before commencing or continuing the services.
- We reserve the right to suspend work, delivery, or publication support where any invoice remains unpaid after the due date.
- Any amounts not paid when due may accrue interest at the statutory rate permitted by applicable law, together with reasonable recovery costs.
Any changes requested by you outside the agreed scope may be treated as additional work and charged at our then-current rates or as otherwise agreed in writing.
You are responsible for all bank charges, foreign exchange fees, withholding taxes, and other charges imposed by your financial institution or local tax authority, except where prohibited by law.
5. Cancellation and refund policy
You may request cancellation of services by providing written notice to us. The effect of cancellation will depend on the stage of work completed and any commitments already made by Northstar Podcast Production Ltd.
- Deposits are non-refundable unless we expressly agree otherwise in writing or applicable law requires a refund.
- If you cancel after work has commenced, you remain liable for fees covering all work performed, time reserved, third-party costs incurred, and any non-cancellable commitments.
- Where a project is cancelled before completion, we may invoice you for the proportion of work completed up to the cancellation date.
- Refunds, if any, will be assessed on a case-by-case basis and may exclude completed services, delivered materials, and third-party expenses.
We may cancel or suspend the services immediately if you materially breach these Terms, fail to pay amounts due, provide unlawful instructions, or engage in conduct that makes continued performance impracticable or unreasonable.
6. Liability limitations
Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful, including liability for fraud, fraudulent misrepresentation, death, or personal injury caused by negligence.
To the fullest extent permitted by applicable law:
- We shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses or damages;
- We shall not be liable for loss of profits, loss of revenue, loss of goodwill, loss of business opportunity, loss of data, or business interruption;
- We shall not be responsible for errors, omissions, or delays caused by inaccurate information supplied by you, third-party platforms, hosting providers, distributors, or internet/network failures;
- Any liability of Northstar Podcast Production Ltd arising out of or in connection with the services shall be limited to the total fees paid by you to us for the specific services giving rise to the claim during the 3 months preceding the event giving rise to the claim, unless otherwise required by law.
You are solely responsible for obtaining insurance coverage appropriate to your business and content, including any media liability, intellectual property, or defamation-related cover, if desired.
7. Intellectual property rights
Unless otherwise agreed in writing, all pre-existing intellectual property rights, methodologies, templates, workflows, know-how, software, tools, and production techniques used or developed by Northstar Podcast Production Ltd remain our property or the property of our licensors.
Upon full payment of all applicable fees, and subject to these Terms and any third-party rights, we grant you a non-exclusive, worldwide, perpetual licence to use the final deliverables we have created specifically for you for the intended podcast-related purposes agreed between the parties.
This licence does not transfer ownership of our underlying tools, templates, or proprietary materials, and does not permit you to resell, sublicense, or commercially exploit our proprietary materials independently of the deliverables unless we agree otherwise in writing.
You represent and warrant that any materials you supply to us are either owned by you or lawfully licensed for the intended use, and you grant us a licence to use, reproduce, edit, adapt, store, and process such materials solely for the purpose of providing the services.
Where third-party music, sound effects, images, footage, or other materials are used, you are responsible for ensuring all necessary permissions, licences, and clearances are obtained unless we have expressly agreed in writing to arrange them on your behalf.
8. Data protection and privacy
We will handle personal data in accordance with applicable data protection and privacy laws and our internal privacy practices.
By engaging our services, you acknowledge that we may collect, use, store, and process personal data including names, contact details, voice recordings, guest information, and other content necessary to provide podcast-production services, manage communications, invoice you, and fulfil legal or contractual obligations.
- We will process personal data only for legitimate business purposes connected with the services, unless otherwise required or permitted by law.
- You are responsible for ensuring that any personal data you provide to us has been lawfully collected and shared with us, including obtaining any necessary consents or notices from guests, contributors, or other data subjects.
- We may use reputable third-party service providers for hosting, communication, file transfer, editing, storage, accounting, and similar functions, subject to appropriate safeguards where required.
- We will take reasonable technical and organisational measures designed to protect personal data, but no system can be guaranteed completely secure.
If you require a separate data processing agreement, this must be agreed in writing before we process personal data on your behalf in a manner requiring such agreement.
9. Force majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including but not limited to fire, flood, storm, epidemic, pandemic, strikes, labour disputes, power outages, telecommunications failures, cyber incidents, war, terrorism, civil unrest, government action, supplier failure, or natural disasters.
If a force majeure event continues for a prolonged period, either party may suspend the affected services or terminate the relevant project by written notice, without prejudice to any payment obligations for work already performed or costs already incurred.
10. Changes to terms
Northstar Podcast Production Ltd may revise these Terms from time to time to reflect changes in our business practices, legal requirements, or service offerings.
Any updated version will take effect from the date specified in the revised Terms or, if no date is specified, when published or communicated to you. Your continued use of our services after any update constitutes acceptance of the revised Terms.
If a change materially affects an ongoing project, we will endeavour to notify you in advance where reasonably practicable.
11. Applicable law and jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or the services, shall be governed by and construed in accordance with the laws of England and Wales.
Subject to any mandatory legal rights you may have, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, the services, or their subject matter or formation.

13. Severability clause
If any provision of these Terms is held by a court or competent authority to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be severed, and the remaining provisions shall remain in full force and effect.
No failure or delay by either party in exercising any right or remedy under these Terms shall constitute a waiver of that or any other right or remedy.
These Terms constitute the entire agreement between you and Northstar Podcast Production Ltd regarding their subject matter, except to the extent supplemented by a signed written agreement or mandatory applicable law.
